1. Agreement to Terms

By accessing or using VoiceFeedback.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (individual or entity) and Somani Technologies Private Limited ("Company," "we," "us," "our").

2. Service Description

VoiceFeedback.io provides a SaaS platform for capturing, transcribing, analyzing, and acting on voice feedback. Features include:

  • AI-powered form designer
  • Multilingual voice capture and transcription
  • Sentiment analysis, theme extraction, and KPI generation
  • Task automation and integration with third-party tools
  • Dashboard and reporting features

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account Registration & Security

3.1 Eligibility

You must be at least 18 years old and have legal capacity to enter into contracts. By registering, you represent that all information provided is accurate and current.

3.2 Account Security

You are responsible for:

  • Maintaining confidentiality of your password
  • All activities under your account
  • Notifying us immediately of unauthorized access

We recommend enabling multi-factor authentication (MFA) for enhanced security.

4. Acceptable Use Policy

You agree NOT to:

  • Use the Service for illegal purposes or to violate any laws
  • Collect voice recordings without explicit consent from participants
  • Upload malicious code, viruses, or harmful content
  • Attempt to reverse-engineer, decompile, or hack the Service
  • Resell, sublicense, or share your account with unauthorized users
  • Scrape, harvest, or extract data using automated tools without permission
  • Submit false or misleading feedback to manipulate insights
  • Use the Service to spam, harass, or harm other users or their customers

Violation of this policy may result in immediate account suspension or termination without refund.

5. Pricing, Billing & Refunds

5.1 Plans & Pricing

We offer three subscription tiers: Basic, Pro, and Enterprise. Pricing is available at voicefeedback.io/pricing.

Pricing Lock Guarantee: Early adopters (first 500 Pro accounts) receive a lifetime lock on their initial monthly rate. Future price increases do not apply unless you downgrade and re-upgrade.

5.2 Billing Cycle

  • Monthly: Billed on the same day each month
  • Annual: Billed upfront with 2 months free (equivalent)
  • Payments processed via Stripe (global) or Razorpay (India)
  • All prices exclude applicable taxes (GST, VAT, etc.)

5.3 Refund Policy

30-Day Money-Back Guarantee: If you're not satisfied within the first 30 days of your initial subscription, email [email protected] for a full refund. No questions asked.

After 30 days, no refunds are issued. However, you may cancel anytime with pro-rata credit applied to remaining billing period.

5.4 Cancellation

  • Cancel anytime from Account Settings
  • Access continues until end of current billing period (no partial refunds)
  • Data retained for 30 days post-cancellation for reactivation
  • After 30 days, all data permanently deleted (cannot be recovered)

5.5 Failed Payments

If payment fails, we'll retry 3 times over 10 days. If still unsuccessful, your account will be suspended. Reactivate by updating payment method. Data retained for 60 days during suspension.

6. Data Ownership & Intellectual Property

6.1 Your Data

You retain all rights to:

  • Voice recordings submitted by you or your customers
  • Transcriptions, insights, and reports generated by the Service
  • Custom configurations, form designs, and workflows

We do not claim ownership of your data. We process it solely to provide the Service. See our Privacy Policy for details.

6.2 Our Platform

VoiceFeedback.io (software, algorithms, UI, branding, documentation) is owned by Somani Technologies Private Limited. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription. No source code, proprietary methods, or trademarks are licensed.

7. Service Availability & Uptime

Pro & Enterprise Plans: 99.9% uptime SLA (excluding scheduled maintenance)

Basic Plan: Best effort, no SLA

Scheduled maintenance announced 48 hours in advance via email. Emergency maintenance may occur with shorter notice.

Disclaimer: We do not guarantee uninterrupted access. Force majeure events (natural disasters, cyberattacks, infrastructure failures) are excluded from SLA calculations.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "AS IS" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Total liability capped at amount paid in last 12 months (or INR 10,000 / $100, whichever is greater)
  • We are not responsible for third-party integrations (Slack, Jira, etc.)
  • You are solely responsible for compliance with voice recording consent laws in your jurisdiction

9. Indemnification

You agree to indemnify and hold harmless Somani Technologies Private Limited from any claims, damages, or expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of voice recording consent laws (e.g., wiretapping, eavesdropping)
  • Infringement of third-party rights by your content
  • Misuse of the Service causing harm to others

10. Termination

10.1 By You

Cancel anytime from Account Settings. Access continues until end of billing period.

10.2 By Us

We may suspend or terminate your account immediately if:

  • You violate Acceptable Use Policy (Section 4)
  • Payment fails after retries (Section 5.5)
  • We receive legal orders (court, law enforcement)
  • We discontinue the Service (60 days notice, pro-rata refund)

11. Governing Law & Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of India. Jurisdiction: Courts of [City], India.

11.2 Arbitration

For disputes over INR 5,00,000 / $5,000, parties agree to binding arbitration under Indian Arbitration and Conciliation Act, 1996. Arbitration conducted in English in [City], India.

12. Changes to These Terms

We may update these Terms with 30 days' notice via email or in-app banner. Material changes (pricing, liability, arbitration) require explicit opt-in. Continued use after notice period constitutes acceptance.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Unenforceable provisions will be modified to reflect parties' intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and any Order Forms (Enterprise), constitute the entire agreement. Supersedes all prior agreements, verbal or written.
